Kosta Legal, led by partner Maxim Dogonkin, with support from senior associate Islombek Baratov and associates Diyorbek Nishonov and Alina Mametkulova, advised Global South Utilities (GSU), part of Abu Dhabi’s Resources Investment, on its acquisition of a majority stake in Yashil Energiya LLC, a fully integrated renewable energy developer engaged in the origination, financing, construction, and operation of commercial and industrial distributed solar power projects in Uzbekistan. Yashil Energiya, which was established at the initiative of the government and was indirectly state-owned, has played an important role in advancing distributed renewable generation in Uzbekistan.
As part of the transaction, GSU’s multimillion investment is expected to significantly expand Yashil Energiya’s portfolio by several tens of megawatts, further accelerating the development of small-scale renewable energy projects, including solar, mini-hydropower, and electric vehicle (EV) charging infrastructure.
Kosta Legal’s team assisted with the preparation of the investment and shareholders’ agreements, as well as other key transaction documents, and provided comprehensive advice on associated competition and regulatory matters.

This acquisition further strengthens energy cooperation between the UAE and Uzbekistan as the country advances towards its target of generating 50% of its electricity from renewable sources by 2030.
